        Eierstyring og selskapsledelse

        Entras styre har vedtatt  retningslinjer for god eierstyring og selskapsledelse i henhold til anbefalingen utgitt av norsk utvalg for eierstyring og selskapsledelse (NUES). Følgende elementer er bærende i disse retningslinjene:

        • Entra skal føre en åpen, pålitelig og relevant kommunikasjon med omverden om selskapets virksomhet og forhold knyttet til eierstyring og selskapsledelse
        • Entra skal ha et styre som er uavhengig av konsernets ledelse
        • Det skal legges vekt på at det ikke foreligger interessekonflikter mellom aksjonærer, styret og administrasjonen
        • Entra skal ha en klar arbeidsdeling mellom styret og administrasjonen
        • Likebehandling av aksjonærer.

        Generalforsamling

        Styret skal legge til rette for at så mange aksjeeiere som mulig kan utøve sine rettigheter ved å delta på selskapets generalforsamling, og at generalforsamlingen blir en effektiv møteplass for aksjeeiere og styret, blant annet ved å påse at:

        • Innkalling og saksdokumenter til generalforsamlingen, inkludert valgkomiteens innstilling, er tilgjengelig på selskapets hjemmeside senest 21 dager før generalforsamlingen avholdes.
        • Saksdokumentene er utførlige nok til at aksjeeierne kan ta stilling til alle saker som skal behandles.
        • Påmeldingsfristen settes så nær møtet som praktisk mulig og etter vedtektenes bestemmelser.
        • Styret og den som leder møtet legger til rette for at generalforsamlingen får mulighet til å stemme på hver enkelt av kandidatene til verv i selskapets organer.
        • Styret, valgkomiteen og revisor er til stede i generalforsamlingen.
        • Det foreligger rutiner som sikrer en uavhengig møteledelse i generalforsamlingen.

        Komiteer og utvalg

        Valgkomiteen

        Entra har vedtektsfestet at selskapet skal ha en valgkomité bestående av inntil 5 medlemmer.

        Valgkomiteens medlemmer, herunder valgkomiteens leder, velges av generalforsamlingen for en periode på inntil to år.  Valgkomiteen avgir sin innstilling til generalforsamlingen om valg av aksjonærvalgte styremedlemmer og medlemmer til valgkomiteen, samt godtgjørelse til styrets og valgkomiteens medlemmer.

        Revisjonsutvalget

        Revisjonsutvalget skal virke som et saksforberedende organ og støtte styret i utøvelse av sitt ansvar for regnskapsrapportering, revisjon, intern kontroll, etterlevelse av etiske retningslinjer og den samlede risikostyring.
